Terms of Service
Effective date: June 1, 2026
Please read these Terms of Service ("Terms") carefully before using Valkyrie's products, software, mobile application, website, hardware, or related services (collectively, the "Service").
By creating an account, purchasing hardware, accessing the Service, or using Valkyrie products, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. About Valkyrie
Valkyrie provides an AI-powered livestock monitoring platform designed to assist horse owners, trainers, and barn operators in identifying behavioral patterns that may indicate early signs of equine colic or other health concerns.
The Service utilizes computer vision technology through compatible camera systems to analyze animal movement and behavior and generate alerts when concerning patterns are detected.
Valkyrie is an informational monitoring tool only. Valkyrie is not a veterinary service, medical provider, diagnostic platform, emergency response system, or medical device.
No alert, score, notification, or recommendation provided by Valkyrie constitutes veterinary advice, diagnosis, treatment, or a guarantee of animal health.
2. Eligibility
You must be at least eighteen (18) years old to create a Valkyrie account and use the Service.
By using the Service, you represent and warrant that:
- You are at least 18 years old;
- You have authority to agree to these Terms;
- You are authorized to monitor the animals and property connected to your account.
Valkyrie may suspend or terminate accounts that fail to satisfy these requirements.
3. Account Registration
To use the Service, you must create an account and provide accurate and complete information, including:
- First name
- Last name
- Email address
You are responsible for:
- Maintaining the confidentiality of your account credentials;
- All activity occurring under your account;
- Promptly notifying Valkyrie of any unauthorized access or security breach.
Valkyrie reserves the right to suspend, restrict, or terminate accounts that violate these Terms.
4. Subscription, Billing, and Cancellation
4.1 Pricing
Valkyrie currently charges:
- A one-time hardware fee for each monitor; and
- A monthly subscription fee of $20 per monitor per month.
All pricing is listed in U.S. Dollars and is displayed within the Valkyrie application and on Valkyrie's website.
Valkyrie reserves the right to modify pricing, subscription fees, or billing structures at any time. Any pricing changes will be communicated to users in advance and will take effect at the start of a future billing period. Continued use of the Service after a pricing change becomes effective constitutes acceptance of the updated pricing.
4.2 Billing
By activating a monitor, you authorize Valkyrie to charge your selected payment method on a recurring basis.
All fees are billed in advance and are non-refundable except where required by law.
You are responsible for maintaining accurate payment information.
4.3 Cancellation
You may cancel your subscription at any time through the Service or by contacting support.
Cancellation becomes effective at the end of the current billing period. Access to the Service will continue through that date.
No prorated refunds will be issued for partial billing periods unless required by law.
4.4 Account Deletion
Upon account deletion or termination, Valkyrie will process and delete applicable user data according to Section 6.
5. Service Scope and Limitations
5.1 What Valkyrie Does
The Service analyzes video footage to identify behavioral patterns that may be associated with equine discomfort or illness, including:
- Rolling behavior
- Extended periods of lying down
- Repeated lying and standing
When concerning patterns are detected, Valkyrie may generate alerts, notifications, or risk assessments.
5.2 What Valkyrie Does Not Do
The Service has significant limitations.
Valkyrie does not:
- Monitor food intake;
- Monitor water consumption;
- Monitor vital signs;
- Detect every illness, injury, or medical condition;
- Guarantee detection of equine colic;
- Provide veterinary diagnosis;
- Provide treatment recommendations;
- Guarantee the accuracy of alerts or risk scores.
The Service may generate:
- False positives;
- False negatives;
- Delayed alerts;
- Missed detections.
5.3 Not a Substitute for Veterinary Care
Valkyrie is intended solely as a supplemental monitoring tool.
Users remain solely responsible for:
- Monitoring their animals;
- Seeking veterinary care;
- Making all health-related decisions.
You should never delay contacting a veterinarian based on information provided—or not provided—by Valkyrie.
5.4 Not a Life-Safety System
The Service is not designed, intended, or certified as a life-safety, emergency-response, or critical-monitoring system.
Users should not rely on Valkyrie as their sole means of detecting emergencies or animal distress.
6. Data Collection, Use, and Privacy
6.1 Information We Collect
Valkyrie may collect:
- First and last name;
- Email address;
- Account information;
- Camera video streams;
- Motion event recordings;
- Device and usage analytics.
Valkyrie does not intentionally collect biometric identifiers, precise geolocation data, or protected health information about users.
6.2 How We Use Information
Information may be used to:
- Operate the Service;
- Deliver alerts;
- Improve AI models;
- Maintain accounts;
- Provide customer support;
- Enhance system performance and reliability.
Valkyrie does not sell personal information to third parties.
6.3 Video Review
Authorized Valkyrie personnel may review recorded footage for:
- Model improvement;
- Alert validation;
- Technical troubleshooting;
- Customer support.
By using the Service, you consent to such review.
6.4 Data Sharing
Valkyrie may share information with:
- Hosting providers;
- Cloud infrastructure providers;
- Analytics providers;
- Payment processors;
- Camera integration partners;
- Law enforcement or governmental authorities where legally required.
6.5 Retention
Video recordings are generally retained for fourteen (14) days before permanent deletion.
Following account cancellation or deletion, personal information will be deleted within a commercially reasonable period unless retention is required by law.
6.6 Third-Party Services
The Service may integrate with third-party products and services, including Ring cameras and related infrastructure.
Your use of those services remains subject to the applicable third party's terms and privacy policies.
Valkyrie is not responsible for the availability, security, or data practices of third-party services.
7. Acceptable Use
You agree not to:
- Use the Service unlawfully;
- Monitor individuals without appropriate authorization;
- Reverse engineer, copy, modify, or create derivative works from the Service;
- Circumvent security measures;
- Interfere with Service operation;
- Share accounts with unauthorized users;
- Use the Service in a manner that infringes any third-party rights.
Violation of this section may result in suspension or termination.
8. Intellectual Property
The Service, including all software, algorithms, models, interfaces, content, trademarks, and related intellectual property, is owned by Valkyrie or its licensors.
These Terms do not grant ownership rights in the Service.
Users receive a limited, revocable, non-exclusive, non-transferable license to use the Service solely as permitted by these Terms.
9. Feedback
If you provide feedback, suggestions, ideas, or recommendations regarding the Service, you grant Valkyrie a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without compensation.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALKYRIE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- NON-INFRINGEMENT;
- ACCURACY;
- RELIABILITY;
- AVAILABILITY.
VALKYRIE DOES NOT WARRANT THAT:
- THE SERVICE WILL OPERATE WITHOUT INTERRUPTION;
- ALERTS WILL ALWAYS BE GENERATED;
- ALERTS WILL BE ACCURATE;
- ANIMAL ILLNESS OR DISTRESS WILL BE DETECTED;
- THE SERVICE WILL PREVENT INJURY, LOSS, OR DEATH.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALKYRIE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
THIS INCLUDES DAMAGES ARISING FROM:
- Missed alerts;
- False alerts;
- False negatives;
- Veterinary expenses;
- Surgical expenses;
- Animal injury or death;
- Camera failures;
- Internet outages;
- Service interruptions;
- Loss of data.
IN NO EVENT SHALL VALKYRIE'S TOTAL LIABILITY EXCEED THE GREATER OF: (A) THE AMOUNT PAID TO VALKYRIE DURING THE THREE (3) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You agree to defend, indemnify, and hold harmless Valkyrie and its officers, employees, contractors, affiliates, and agents from any claims, liabilities, damages, losses, costs, or expenses arising out of:
- Your use of the Service;
- Your violation of these Terms;
- Your violation of applicable law;
- Your infringement of third-party rights.
13. Force Majeure
Valkyrie shall not be liable for delays or failures resulting from events beyond its reasonable control, including:
- Natural disasters;
- Power outages;
- Internet failures;
- Government actions;
- Labor disputes;
- Cyberattacks;
- Third-party service interruptions.
14. Modifications to the Service or Terms
Valkyrie may modify these Terms at any time.
Material changes will be communicated through email, the application, or other reasonable means before becoming effective.
Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
Valkyrie may modify, suspend, or discontinue portions of the Service at any time.
This includes material updates to Valkyrie's AI detection capabilities, such as changes to accuracy levels, new behavioral indicators, or enhancements to the colic detection model. Users will be notified of such changes through email or in-app notification before they take effect.
15. Termination
Valkyrie may suspend or terminate access to the Service for violations of these Terms, suspected fraud, security concerns, or other lawful reasons.
Upon termination:
- Access to the Service ends immediately;
- Subscription obligations remain enforceable;
- Applicable provisions of these Terms survive termination.
16. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to the Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles.
Before initiating legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiations.
If a dispute cannot be resolved informally, the parties agree that any legal action shall be brought exclusively in the state or federal courts located in California, and each party consents to the personal jurisdiction of those courts.
17. Electronic Communications
By creating an account, you consent to receive communications from Valkyrie electronically, including:
- Service notifications;
- Billing notices;
- Legal notices;
- Product updates.
Electronic communications satisfy any legal requirement that such communications be in writing.
18. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
